1.         Introduction

Welcome to SKILLSYNERGY DIGITAL MARKETING SERVICES, doing business as Skill Synergy Marketing (“we”, “us”, or “our”). By subscribing to our services, you ("Client", "User") agree to be bound by these Terms & Conditions. If you do not agree, you may not access or use our services.

2.         Definitions

Platform refers to the SaaS infrastructure provided via Go High Level (GHL) and managed by Skill Synergy Marketing Solutions.

Client Data refers to any data, content, materials, contacts, media or information uploaded, submitted, or generated by the Client through the platform.

Subscription refers to the active service plan and billing agreement between the Client and Skill Synergy.

 

3.         Services Provided

We provide an all-in-one digital platform that may include, but is not limited to:

• CRM and Pipeline Management

• Calendars and Appointment Scheduling

• Email, SMS, and Messaging Automation

• AI Employee setup and training (chat, lead response, support automation)

• Website and Funnel Building and Hosting

• Online Store Setup (payments, orders, inventory tracking where applicable)

• Forms, Surveys, and Workflows

• Client Portals and Reputation Management

• Reporting and Dashboards

Services are delivered via our SaaS Platform powered by Go High Level (GHL). Any third-party integrations (e.g., Google, Facebook, Instagram, SaligPay, Stripe, PayPal, Wise, etc.) are subject to their respective terms and availability.

 

4.         User Responsibilities

By using our services, you agree to:

• Provide accurate, complete, and up-to-date information during onboarding and throughout your subscription.

• Supply required business, product, branding, and operational information necessary for building AI employees, websites, funnels, and online stores.

• Use the Platform in compliance with all applicable laws and regulations, including but not limited to data privacy, consumer protection, and anti-spam laws.

• Maintain the confidentiality of your login credentials and restrict access to authorized users only.

• Obtain proper consent from your customers, leads, and contacts before sending communications.

• Refrain from reselling, sub-licensing, reverse-engineering, duplicating, or exploiting the Platform or Deliverables outside the scope of your subscription.

 

5.         Payment & Subscription

• Services are billed on a recurring monthly or annual basis unless otherwise agreed in writing.

• All pricing for Philippine-based clients is inclusive of 12% VAT as required by local tax regulations. Prices displayed during checkout reflect the final amount to be paid, inclusive of tax.

• Clients based outside the Philippines (e.g., in Canada or the U.S.) will not be charged VAT or sales tax, as we are not registered to collect taxes in those jurisdictions.

• Payment is due upon subscription and on each recurring billing date thereafter. Accepted payment methods include credit/debit cards, PayPal, and other supported third-party processors.

• All payments are non-refundable unless otherwise required by applicable law or explicitly stated in a separate written agreement.

• Late or failed payments may result in temporary suspension or permanent termination of services. We will make reasonable efforts to notify you prior to suspension.

 

6.         Cancellation & Termination

 

• You may cancel your subscription with a 7-day written notice prior to your next billing cycle to avoid additional charges.

• No refunds will be issued for unused time or partial billing periods.

• We reserve the right to terminate or suspend your account for:

◦ Non-payment or repeated payment failures

◦ Violation of these Terms and Conditions

◦ Illegal, fraudulent, or unethical use of the Platform

Upon termination, access to the Platform and Deliverables may be revoked.

 

7.         Data Ownership & Privacy

 

• Clients retain ownership of their client data. We will not sell or share Client data with third parties.

• Data is hosted and processed through GHL and other authorized service providers in compliance with industry standards.

• Clients are responsible for ensuring that their use of the platform is compliant with applicable privacy laws, including:

◦ Philippines: Data Privacy Act of 2012 (RA 10173)

◦ Canada: PIPEDA and CASL

◦ United States: CCPA, CAN-SPAM, and other state-specific laws

• In the event of a data breach affecting Client Data, notification will be provided as required by law.

 

8.         Website, Funnel, and Store Ownership & Transferability  

•  Websites, funnels, AI employees, workflows, automations, and online stores built within the Platform are created using proprietary configurations, infrastructure, and technology tied to our SaaS environment.

• All such Deliverables are non-transferable outside of the Skill Synergy Platform.

• Clients are granted a license to use these Deliverables only for the duration of an active subscription.

• Source files, platform configurations, automations, and system architecture cannot be exported, migrated, or recreated outside the Platform.

• Upon cancellation or termination, hosted websites, funnels, AI employees, and related Deliverables may be deactivated or removed.   

9.         Intellectual Property

• All Skill Synergy branding, templates, workflows, AI logic, system designs, and internal methodologies remain the exclusive intellectual property of Skill Synergy Marketing Solutions.

• These may not be duplicated, sold, or distributed outside of your licensed subscription.

• You may use the templates and workflows solely within the bounds of your service agreement.

 

10.         Limitations of Liability

• We provide services on an “as is” and “as available” basis.

• We make no guarantees regarding business outcomes, sales performance, or revenue generation.

• We are not liable for indirect, incidental, or consequential damages including but not limited to data loss, missed opportunities, or business interruption.

• In no event shall our liability exceed the total fees paid by the client over the last 12 months.

 

11.    Support & Service Levels

 

• Standard support is available via chat, email, or ticket within business hours: Monday–Friday, 9AM–5PM PHT (GMT+8).

• Emergency or after-hours support may be offered for critical platform failures at our discretion.

• We are not responsible for outages or delays caused by GHL, hosting providers, or third-party services.

 

11.    Communications & Consent

 

• By using our platform, you agree to receive transactional emails and service-related updates.

• You may opt in to promotional updates and unsubscribe at any time.

• All SMS/email marketing messages sent through the platform are subject to local anti-spam laws. Clients are responsible for securing proper consent from recipients.

12.    Governing Law

These Terms & Conditions are governed by the laws of the Republic of the Philippines, without regard to its conflict of laws. For international users, your local laws may still apply regarding consumer protection and privacy.

13.    Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or platform alert. Continued use of our services after such updates indicates your acceptance of the updated terms.
